Terms

Net 30 days after shipment in U.S. dollars. All orders are subject to final acceptance by Abgent at the prices in effect at the time of shipment. Prices are subject to change without notice.

Conditions

Abgent products are intended for research use only and are not to be used for any other purposes including, but not limited to, unauthorized commercial purposes, in vitro diagnostic purposes, ex vivo or in vivo therapeutic purposes, investigational use, in foods, drugs, devices or cosmetics of any kind, or for consumption by or use in connection with or administration or application to humans or animals. You acknowledge that the goods have not been tested by or for us for safety or efficacy, unless expressly stated in our catalogues or on the label or other documentation accompanying the goods.

Product Availability and Delivery

Unless otherwise specified, shipping and handling charges are prepaid and added, F.O.B origin. Other options are available upon request.

Domestic orders for in-stock catalog items received Monday through Thursday before 10 AM (PST) will be shipped out the same day for delivery the following day. Orders placed after 10 AM (PST) will ship out the next business day. Domestic orders are not shipped on Friday, with the exception of room-temperature products.

International orders from countries without distributors received before 10 AM will be shipped out the same day. Orders placed after 10 AM (PST) will ship out the next business day. International shipments cannot be shipped on Wednesday (excluding Canadian orders) or Thursday. Please inquire with the customer service department for shipping charges.

Limited Product Warranty

Any product that does not meet the performance standards stated in the product specification sheet will be replaced at no charge. This warranty limits our liability to the replacement of the product. No other warranties of any kind, express or implied, including without limitation, implied warranties of merchantability or fitness for a particular purpose, are provided by Abgent. Abgent shall have no liability for any direct, indirect, consequential or incidental damages arising out of the use, the results of use or the inability to use any product.

RETURNS

In the case of a purchasing error or a change in the order after the order has been shipped and whereby Abgent is at fault, Abgent will correct the order at no additional cost (with the exception of catalog products beginning with AE, AF, AJ, AO, and AT, for which orders cannot be canceled and no returns are accepted). The fee applies only to unopened, properly stored items that are authorized for return. All shipping costs are to be paid by customer.  In the event that the purchasing error or change is made by the purchaser, Abgent will not be liable for any restocking fees nor will Abgent issue a credit.

The following Terms & Conditions apply to all sales of products by Abgent Europe Limited or its affiliated companies (together referred to as “Abgent”). Customers buying from Abgent’s distributors should also refer to the terms of sale of those distributors for all contractual terms.

ALL ABGENT PRODUCTS, UNLESS SPECIFICALLY DESCRIBED OTHERWISE, SHALL BE USED FOR RESEARCH PURPOSES ONLY. USERS SHOULD ALWAYS READ THE MATERIAL SAFETY DATA SHEETS FOR INSTRUCTIONS ON PROPER USE AND STORAGE CONDITIONS OF ABGENT PRODUCTS. USERS ARE RESPONSIBLE FOR COMPLYING WITH ANY LEGISLATION OR REGULATIONS GOVERNING THE USE AND IMPORTATION OF THE PRODUCTS INTO THE COUNTRY OF DESTINATION.

Introduction

These Terms & Conditions apply to all sales of products by Abgent Europe Limited trading as Abgent Europe, whose registered office is at 13 Rawcliffe House, Howarth Road, Maidenhead, SL6 1AP, UK, registered number 07280573, VAT number GB 992 2424 07 or its affiliated companies, together referred to as “Abgent”.

These Terms & Conditions shall supersede any standard terms of business of the customer. No variation of these Terms & Conditions and no representations about the products will be binding upon Abgent unless it is in writing and is signed by Abgent’s authorized representative.

Specifications

Abgent products are intended for research use only and are not to be used for any other purposes including, but not limited to, unauthorized commercial purposes, in vitro diagnostic purposes, ex vivo or in vivo therapeutic purposes, investigational use, in foods, drugs, devices or cosmetics of any kind, or for consumption by or use in connection with or administration or application to humans or animals. Customers acknowledge that the goods have not been tested by or for Abgent for safety or efficacy, unless expressly stated in our catalogues or on the label or other documentation accompanying the goods.

Products will be as described under the relevant product code in the catalogue. Customers should always review Abgent’s web-site for the most current information before ordering and will be taken to be fully aware of all information and warnings available.

Price

The prices quoted do not include packing and carriage charges or insurance and are exclusive of VAT. A packing charge may be added to the price of the product by Abgent. Abgent will give the customer an estimate of the packing charge on receipt of the order.

Abgent reserves the right to amend prices and product specifications without notice. Prices and product specifications in effect at the time of shipment are deemed final.

Orders

Orders may be placed by either: 1) written request delivered by post, fax, or e-mail, or 2) by the Abgent website on-line ordering facility. All orders must refer to Abgent’s catalogue number for the relevant product and should contain a purchase order number, contact information, and an account number if known.

Orders placed by the customer shall be deemed to be accepted only upon receipt of a written acknowledgement issued by Abgent or when the product is delivered to the customer, whichever occurs first.

Terms

Invoices are due without deduction or set-off within thirty (30) days after the date of the invoice. If any part of an invoice remains outstanding after the due date for payment, Abgent will be entitled to charge interest from the invoice date until full payment at the rate of 4% per year above the base rate from time to time of HSBC plc, calculated on a daily basis and compounded annually at December 31st.

Abgent retains ownership of any and all products delivered to the customer until Abgent has received full, unconditional payment for such goods or services supplied by Abgent.

Delivery

Time is not of the essence in the contract between Abgent and the customer. Products are normally available from stock and Abgent will use its reasonable endeavours to deliver products within seven (7 to 10 working days) days after the date on which the order was received by Abgent; but Abgent will not be liable to compensate the customer for late delivery.

General

Abgent will not be liable to the customer or be deemed to be in contractual breach by reason of any delay in performing, or any failure to perform, any of Abgent’s obligations in relation to the product(s), if the delay or failure was due to any cause beyond Abgent’s reasonable control and in particular Abgent reserves the right to defer the date of delivery or to cancel any order or reduce the volume of the Products ordered by the customer if it is prevented from or delayed in carrying out its business due to circumstances beyond the reasonable control of Abgent including without limitation, acts of God, governmental actions, war or national emergency, acts of terrorism, epidemic or other inability or delay in obtaining supplies.

If any provision of these Terms & Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms & Conditions and the remainder of the provision in question shall not be affected thereby.

The sale contract between the customer and Abgent is governed by English law, and these Terms & Conditions will be interpreted in accordance with English law. The customer, by ordering Abgent products, is deemed to submit to the exclusive jurisdiction of the English courts in connection with any dispute which may arise from the use of the products or the sale contract between the customer and Abgent.
